Terms and Conditions

These Terms govern your access to and use of the ElsaCookz website, pre-launch services, mobile application, Rewards Programme (including EcoPoints, Spin & Win, and shopping vouchers), and related digital properties operated by ElsaCookz Limited. By using our website or signing up to our waitlist, you agree to these Terms.

Section 01

Introduction

These Terms and Conditions ("Terms") are entered into between you and ElsaCookz Limited, a company incorporated in England and Wales ("ElsaCookz," "we," "us," or "our").

These Terms apply to your access to and use of our website at elsacookz.com (the "Website"), our pre-launch waitlist service, and any related digital properties we operate. They do not yet govern the ElsaCookz mobile application, which will be subject to separate terms upon launch.

Please read these Terms carefully. If you do not agree with any part, you should not use our Website or sign up to our waitlist.

About ElsaCookz

ElsaCookz Limited is developing a smart kitchen and recipe management application to help households manage ingredients effectively, discover relevant recipes, reduce food waste, and make more confident cooking decisions.

At the date of these Terms, the App has not yet launched. Our Website serves as a pre-launch presence where visitors can learn about the product and register interest via the waitlist.

These Terms will be updated when the App launches and paid services become available. You will be notified of material changes before they take effect.

Section 03

Definitions

  • "Website" means elsacookz.com and any associated subdomains or digital properties operated by ElsaCookz Limited.
  • "App" means the ElsaCookz mobile application in development, to be made available on applicable platforms upon launch.
  • "Services" means the Website, pre-launch communications, the waitlist, and upon launch, the App and all related features.
  • "Waitlist" means the pre-launch email subscription through which users register interest in the App and consent to receive communications from us.
  • "User," "you," or "your" means any person accessing or using the Website or Services.
  • "Content" means text, images, graphics, branding, software, interfaces, recipes, and other material available through the Services.
  • "Household Data" means data relating to a user's household that is generated through use of the App, including ingredient inventories, meal plans, food waste records, dietary preferences, and kitchen activity patterns.
  • "Rewards Programme" means the gamification and incentive features available within the App, including EcoPoints, Spin & Win, shopping vouchers, discounts, badges, streaks, and missions.
  • "EcoPoints" means the virtual points awarded within the App based on qualifying user activity, redeemable in accordance with the Rewards Programme rules in force at the relevant time.
  • "Voucher" means any shopping voucher, discount code, or promotional benefit issued through the Rewards Programme, subject to the terms, expiry conditions, and restrictions applicable at the time of issue.

Section 04

Acceptance of Terms

By accessing our Website or signing up to the waitlist, you confirm that:

  • you are at least 18 years of age, or if between 13 and 17, that you have obtained the consent of a parent or legal guardian;
  • you have read, understood, and agree to be bound by these Terms and our Privacy Policy;
  • if acting on behalf of an organisation, you have authority to bind that organisation to these Terms.

If you do not meet these requirements or disagree with these Terms, please do not use our Website.

Use of Our Website

When using our Website, you agree that you will:

  • access and use the Website only for lawful purposes and in accordance with these Terms;
  • not interfere with, disrupt, damage, or compromise the integrity, performance, or security of our Website or infrastructure;
  • not attempt to gain unauthorised access to any part of the Website, our systems, or user data;
  • not use automated scripts, bots, or scrapers to access or extract content without our prior written consent;
  • not reverse engineer, decompile, or attempt to extract source code from the Website;
  • not transmit spam, unsolicited communications, or malicious code through the Website;
  • not use the Website in any way that could harm ElsaCookz Limited, our users, or third parties.
We reserve the right to investigate suspected misuse and to suspend, restrict, or terminate access where we reasonably determine these Terms have been breached.

Section 06

Waitlist Registration

By signing up to our waitlist, you:

  • provide your email address voluntarily and confirm it is accurate and belongs to you;
  • consent to receive pre-launch updates, early access information, product news, and related communications from ElsaCookz Limited;
  • acknowledge that joining the waitlist does not create a contract for services, guarantee App access, or entitle you to any specific feature or pricing;
  • understand you may unsubscribe at any time using the link in any email we send, or by contacting privacy@elsacookz.com.

Waitlist data is processed in accordance with our Privacy Policy and applicable UK and EU data protection law.

Section 07

Intellectual Property

All intellectual property rights in and to the Website and its Content — including the ElsaCookz name, logo, trademarks, trade dress, text, graphics, software, interfaces, and designs — are owned by or licensed to ElsaCookz Limited, unless otherwise stated.

  • You may access and view the Website for your own personal, non-commercial information purposes.
  • You may not copy, reproduce, adapt, publish, distribute, sell, or otherwise exploit any Content without our prior written permission.
  • Nothing in these Terms transfers any intellectual property rights to you, except the limited permission to use the Website in accordance with these Terms.

Section 08

User Content and Household Data

The current Website does not provide functionality for users to submit content. This section governs future App functionality.

When the App launches, if you submit content (including recipes, notes, ingredient lists, or images), you will retain ownership of that content, but grant us a non-exclusive, worldwide, royalty-free licence to host, store, and display it solely to the extent necessary to provide and improve the Services.

  • You are responsible for ensuring you have the right to upload or share any content you submit.
  • You must not submit content that infringes third-party rights, is unlawful, defamatory, or harmful.
  • We may remove content we reasonably believe violates these Terms or poses legal risk.

Household Data

When you use the App, you may generate Household Data including ingredient inventories, expiry records, meal plans, shopping lists, dietary preferences, and food waste metrics. You retain ownership of your Household Data. You grant us a limited, non-exclusive licence to process Household Data solely for the purpose of providing the Services to you, administering the Rewards Programme, and — in anonymised and aggregated form only — improving the App's features and recommendation systems.

  • We will not share your identifiable Household Data with third parties for their own commercial or marketing purposes.
  • You may request the deletion of your Household Data at any time in accordance with our Privacy Policy. Some records may be retained where required by law or for fraud prevention purposes.
  • Household Data you enter is used to personalise your experience and to calculate rewards and sustainability metrics. By entering this data, you acknowledge that it will be processed for these purposes.

Disclaimers

Our Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ElsaCookz Limited makes no warranties or representations, express or implied, including that:

  • the Website will be available, uninterrupted, error-free, or free from viruses;
  • information on the Website is accurate, complete, current, or suitable for any purpose;
  • any defects or errors will be corrected.

Nothing in these Terms excludes or limits any warranty that cannot be excluded under applicable consumer protection law, including the Consumer Rights Act 2015 (UK).

Section 10

Food, Recipe, Nutrition, and Allergy Disclaimer

Any food, recipe, ingredient, nutritional, or dietary information made available through our Website or future App is for general informational and organisational purposes only and does not constitute professional dietary, nutritional, or medical advice.

  • You are solely responsible for checking ingredients, allergens, expiry status, food safety, and suitability before preparing or consuming food.
  • We do not guarantee that recipes, ingredient suggestions, nutritional estimates, or dietary labels will be complete, accurate, or appropriate for your individual circumstances.
  • If you have food allergies, intolerances, medical conditions, or specific dietary requirements, you should exercise appropriate caution and seek professional advice where necessary.
  • We accept no liability for any loss, harm, or adverse reaction arising from reliance on food or nutritional content made available through our Services.

Section 11

Limitation of Liability

To the fullest extent permitted by applicable law, ElsaCookz Limited will not be liable for any indirect, incidental, consequential, special, or punitive loss or damage, including loss of profits, revenue, data, goodwill, or business opportunity arising from your use of or inability to use the Website.

Where we are liable to you, our total aggregate liability will not exceed the greater of (a) the amount you have paid to us in the twelve months preceding the relevant claim, or (b) £100 (one hundred pounds sterling).

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015 (UK).

Section 12

Future App Services and Availability

We may update, modify, suspend, or discontinue the Website or Services at any time. We do not guarantee continuous availability, compatibility with every device, or uninterrupted access. When the App launches, we may offer pilot or beta features that may be modified or withdrawn without notice.

We will provide reasonable advance notice of material changes where practicable.

App features — including the Rewards Programme, gamification mechanics, and any associated EcoPoints, Spin & Win, or voucher functionality — may be updated, modified, suspended, or withdrawn at our discretion. We reserve the right to alter the rate at which EcoPoints are earned or redeemed, the structure of the Spin & Win feature, the availability and value of vouchers, and the terms of any other incentive programme, with or without advance notice, subject to any rights you may have under applicable consumer law.

Section 13

Future Paid Services and Subscriptions

The App may in future offer paid features or subscription plans. Where fees apply:

  • Pricing, billing cycles, and feature inclusions will be clearly communicated at the point of purchase.
  • Subscriptions may renew automatically unless cancelled before renewal.
  • Refunds will be handled in accordance with applicable consumer law, including the Consumer Rights Act 2015, and any separate refund policy we publish at launch.
  • Where purchases are made through app store platforms, the relevant platform's refund and billing policies will also apply.

Detailed payment and refund terms will be provided when paid services are introduced.

Section 13A

Rewards Programme, EcoPoints, Spin & Win, and Vouchers

The ElsaCookz App includes a Rewards Programme through which users may earn EcoPoints, participate in Spin & Win, and receive shopping vouchers, discounts, badges, and other incentives based on qualifying activity within the App. Your participation in the Rewards Programme is subject to the following terms:

Nature of rewards

  • EcoPoints, Spin & Win outcomes, badges, streaks, and missions are virtual in-app features and have no monetary or cash value unless expressly stated at the time of issuance.
  • Shopping vouchers and discount codes, where issued, are subject to the specific terms, expiry dates, redemption conditions, and restrictions communicated at the point of issue. Vouchers may only be used in accordance with those conditions.
  • Participation in any element of the Rewards Programme does not create a legally enforceable entitlement to any specific reward, discount, voucher, or monetary benefit unless that reward has been formally confirmed and fully redeemed.

Eligibility and fair use

  • The Rewards Programme is available only to registered App users with active accounts in good standing.
  • Rewards may not be transferred, sold, exchanged, or combined with other promotions unless expressly permitted.
  • We reserve the right to disqualify any user who we reasonably determine has attempted to manipulate, abuse, or exploit the Rewards Programme, including through artificial activity, duplicate accounts, or automated means.
  • In the event of suspected abuse or fraud, we may suspend a user's account and rewards balance pending investigation without prior notice.

Spin & Win

  • Spin & Win is a feature through which users may receive randomised rewards, including but not limited to EcoPoints, vouchers, or other in-app benefits.
  • The availability of Spin & Win, the frequency with which it may be used, and the prizes available are subject to change at our discretion.
  • Results generated by Spin & Win are final once confirmed by the App, subject to the error correction provisions in Section 13B below.

Voucher and discount terms

  • Vouchers and discount codes are issued subject to availability and may be subject to minimum spend thresholds, product exclusions, or retailer-specific conditions.
  • Vouchers have an expiry date, after which they cannot be redeemed. Expired vouchers will not be reissued except at our sole discretion.
  • Where vouchers are redeemable with third-party retail partners, the partner's own terms and conditions will also apply. We are not responsible for the redemption policies of retail partners.
  • We reserve the right to withdraw, modify, or substitute any voucher or discount that has been issued in error or whose continued availability would not be commercially reasonable.

Changes to the Rewards Programme

We reserve the right to amend, suspend, or discontinue any element of the Rewards Programme at any time, including modifying the value of EcoPoints, the structure of Spin & Win, or the vouchers available. Where changes are material, we will endeavour to provide reasonable advance notice. Accrued EcoPoints that have not been redeemed at the time of a programme discontinuation will, where practicable, be honoured for a reasonable transitional period.

Section 13B

Technical Errors, Human Errors, and System Glitches

ElsaCookz Limited takes all reasonable steps to ensure that the App, its features, and the Rewards Programme operate accurately and reliably. However, we acknowledge that technical errors, software glitches, network failures, human errors, or other unforeseen events may occasionally occur and may affect the functioning of the App or the accuracy of information displayed to you. This section sets out how we handle such events and the extent of our liability.

Categories of error

  • Technical errors — including software bugs, server failures, data processing errors, synchronisation failures, third-party service outages, or network interruptions that affect the availability or correct operation of the App or any feature within it.
  • Human errors — including mistakes made in configuring, updating, or administering the App, its content, pricing information, rewards values, or promotional features by ElsaCookz staff or contractors.
  • Display or calculation errors — including incorrect values being shown for EcoPoints balances, Spin & Win outcomes, voucher amounts, discounts, subscription pricing, or any other numerical or financial information displayed within the App.

Our right to correct errors

In the event of any technical or human error, ElsaCookz Limited reserves the right to:

  • correct the error and restore accurate values as soon as reasonably practicable upon becoming aware of it;
  • reverse, adjust, or void any rewards, EcoPoints credits, Spin & Win results, vouchers, discounts, or other benefits that were generated as a direct result of an error and do not reflect genuine earned entitlement;
  • suspend any affected feature temporarily while the error is being investigated and remediated;
  • in cases of significant or widespread error affecting multiple users, apply corrections on a systematic basis without individual prior notification, whilst making a general announcement through the App or by email.
Any reward, voucher, discount, or benefit that is displayed or issued as a result of a technical or human error is not legally binding and does not create an enforceable entitlement. We will not be required to honour incorrect rewards values or erroneous vouchers, regardless of whether you have relied upon them prior to correction.

No liability for errors

To the fullest extent permitted by applicable law, ElsaCookz Limited will not be liable for:

  • any interruption, degradation, or temporary unavailability of the App or any of its features arising from a technical error or system failure;
  • any loss of EcoPoints, rewards, or anticipated benefits resulting from a system error, provided we take reasonable steps to restore accurate balances;
  • any decision made by you in reliance on information that is subsequently found to have been affected by a technical or human error;
  • any indirect or consequential loss arising from an error in the Rewards Programme, including any perceived loss of value, missed opportunity, or expectation not fulfilled.

Reporting errors

If you believe you have encountered a technical error, an incorrect rewards balance, or an anomalous Spin & Win or voucher outcome, please contact us promptly at hello@elsacookz.com. We will investigate in good faith and communicate our findings within a reasonable timeframe. Reporting errors promptly helps us resolve them fairly and minimise impact on all users.

Force majeure

We will not be in breach of these Terms or liable for any failure or delay in performance of our obligations arising from events beyond our reasonable control, including but not limited to acts of God, governmental action, infrastructure failure, cyber attacks, or third-party service provider outages.

Section 14

Third-Party Links and Services

Our Website may contain links to third-party websites or resources for informational convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or policies of any third-party site. Your use of third-party sites is at your own risk.

Section 15

Privacy and Data Protection

Your use of our Website is subject to our Privacy Policy, which forms part of these Terms. By using our Website, you acknowledge that your personal data will be processed in accordance with that policy.

We comply with the UK GDPR, the Data Protection Act 2018, and — for EEA users — the EU GDPR. You have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk, or with your local supervisory authority if you are based in the EEA. Section 16

Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to the Website at any time where we reasonably believe you have breached these Terms, your use poses a security risk, or we are required to do so by law.

You may stop using the Website at any time. Waitlist subscribers may unsubscribe from communications at any time. Sections of these Terms that should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will continue to apply.

Section 17

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to any mandatory consumer rights that apply in your country of residence, you agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising from these Terms.

If you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in the courts of those jurisdictions respectively. EEA-resident consumers may also have the right to bring proceedings in the courts of their country of residence under applicable EU consumer protection law.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date, notify waitlist subscribers by email where changes are significant, and give you a reasonable opportunity to review updated Terms before they take effect where required.

Continued use of the Website after updated Terms become effective constitutes acceptance of those changes to the extent permitted by law. The current version is always available at elsacookz.com/terms.
